General service agreements, payment schedules, change request procedures, and intellectual property terms governing all Coded By RT engineering engagements.
1. Acceptance of Terms & Modifications
By accessing our website, booking a consultation, or retaining Coded By RT for software development, UI/UX design, or technical consulting, you agree to be legally bound by these Terms and Conditions and any accompanying Statement of Work (SOW) or proposal.
We reserve the right to revise or update these terms at any time. Material amendments will become effective immediately upon publication on this platform. Continued engagement with our studio following updates constitutes acceptance of the revised terms.

3. Payment Terms & Milestone Schedules
Payment Gateways: Invoices and consultation retainers are settled securely via Razorpay, verified bank wire transfers, or direct payment gateways.
Billing Structures: Specific payment schedules are defined in each project proposal and commonly follow:
- Advance Retainers: 50% upfront deposit prior to sprint commencement, 50% upon final acceptance.
- Milestone Sprints: Structured payments released upon verification of agreed engineering phases.
- Monthly Engagements: Retainer fees billed in advance of recurring development cycles.
* Late Payments: Invoices overdue by more than 14 business days may incur statutory interest charges and can result in temporary suspension of active engineering work.
4. Scope Changes & Additional Charges
Any modification to technical specifications, architectural boundaries, or deliverables requested after contract signing will be evaluated through a structured change request procedure.
- Integration of unforeseen third-party APIs, SDKs, or databases.
- Design revisions exceeding the agreed iteration rounds specified in the SOW.
- Expedited delivery timelines or emergency out-of-scope sprints.
- Substantial modifications to core data schemas after backend architecture approval.
Written Authorization: No additional fees will be incurred without prior written quote issuance and explicit mutual sign-off. Timeline revisions resulting from approved change orders will be agreed upon concurrently.
5. Client Responsibilities & Cooperation
To ensure project momentum and high-fidelity execution, the client agrees to:
- Furnish comprehensive project briefs, functional specifications, and brand assets in a timely manner.
- Provide access to necessary third-party developer consoles, API keys, and repository permissions.
- Designate an authorized decision-maker to review deliverables and provide prompt sprint approvals.
- Ensure all assets, fonts, copy, and media provided to the studio are legally licensed.
- Conduct User Acceptance Testing (UAT) and report anomalies within agreed review windows.
6. Intellectual Property Rights
Client Materials: The client retains 100% ownership of all proprietary data, branding, and content supplied to the studio. You grant us an operational license solely to build and host contracted deliverables.
Custom Deliverables: Upon settlement of all outstanding invoices, full intellectual property rights, bespoke source code, and design assets developed exclusively for the project transfer completely to the client.
Studio Rights: Coded By RT retains the right to display the completed work, project metrics, and client testimonials in our public portfolio and case studies (unless explicitly restricted by an executed Non-Disclosure Agreement). We also retain rights to reuse general utility libraries and framework boilerplates.
7. Limitation of Liability & Warranty Disclaimers
Our services and deliverables are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
In no event shall Coded By RT, its engineers, or contractors be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data corruption, or business interruption arising from third-party hosting outages, upstream API changes, or client data handling.
* Total Aggregate Liability: Under all circumstances, our cumulative liability for any dispute shall not exceed the total fees actually paid by the client for the specific service milestone giving rise to the claim.
8. Termination
Either party may terminate a project agreement upon written notice. Upon contract termination:
- The client shall pay for all engineering work, completed milestones, and non-recoverable third-party expenses accrued up to the termination date.
- The studio will deliver all completed codebases, assets, and documentation corresponding to settled milestones.
- Both parties will immediately return or destroy all proprietary and confidential information.
